The character, basic requirements, concession period and scope of the infrastructure project To consolidate the resources of the private sector, reduce the government's financial burden, and increase operational efficiency, the Ministry of Economic Affairs authorizes the Bureau of Foreign Trade of the Ministry ("Executive Authority") to publish the government's invitation to private institutions to participate in working on the Greater Tainan Exop Center operations transfer project ("Project") by paying land rent and royalties to the government to obtain the right to use the land, buildings and relevant equipment provided by the government and the right to operate the Project in accordance with Article 42 of the Act for Promotion of Private Participation in Infrastructure Projects (hereinafter referred to as the "PPIP Act"). The term of the agreement for the Project shall commence on the date the private institution signs an agreement for the Project with the competent authority. The term shall expire on the day after the 15th anniversary of the completion and delivery of Greater Tainan Exop Center (the “Assets”). The land to be used for the Assets covers a total area of approximately 52,000 m2 identified as Lot No. 276, Section Wu Dong, Gueiren District, Tainan City.

The Qualification Requirements for the Applicant 4.1 Applicant's Qualifications Besides applying as sole legal persons, two or more legal persons may jointly apply for the Project in the name of a cooperative alliance of legal persons. 4.1.1 General Qualifications 4.1.1.1 Sole Legal Persons Where the application is filed by a sole legal person, the applicant shall be a legally established domestic company, foundation or association, or a foreign company established and existing in accordance with the law of a foreign company. 4.1.1.2 Alliance of Legal Persons Where the application is filed in the name of an alliance of legal persons, the members of the alliance shall comprise an authorized representative legal person and general members, and the authorized representative legal person shall not concurrently be a general member. Each member of the alliance shall be a legally established domestic company, foundation or association, or a foreign company established and existing in accordance with the law of a foreign country. 4.1.1.3 A sole legal person or each member of an alliance of legal persons applying for the Project shall have been operating for over one year before the deadline for application for the Project. 4.1.1.4 Where a public servant or a related person under Article 14 of the Act on Recusal of Public Services for Conflicts of Interest is an applicant for the Project or an employee of an applicant, the public servant or the related person shall voluntarily have such identity and relationship disclosed in the application forms. 4.1.2 Financial Requirements for an Applicant An Applicant shall indicate in its letter of application (Attachment 4) and investment proposal that the Private Institution to sign the Agreement with the Competent Authority in the future is the original applying sole legal person, or a new legal person to be established by an applying sole legal person or an applying alliance of legal persons, and meets the following financial requirements, where applicable: 4.1.2.1 Financial requirements for the Private Institution which is a new legal person established for the Project: Where an Applicant plans to establish a new legal person to sign the Agreement with the Competent Authority, the Applicant shall meet the following financial requirements: 1.  Paid-in Capital (1) Where an applying sole legal person is a legally established domestic company, or a foreign company or foundation established and existing in accordance with the law of a foreign country, the Applicant's paid-in capital or total funds shall exceed NT$30 million. (2) Where the applying sole legal person is a legally established association, the association's total property shall exceed NT$30 million. (3) Where the authorized representative legal person of an applying alliance of legal persons is a legally established domestic company, foundation or association, or a foreign company established and existing in accordance with the law of a foreign country, the authorized representative legal person's paid-in capital, or total funds, or total property shall exceed NT$20 million, and the total paid-in capital of all the corporate members, the total funds of all the member foundations, and the total property of all the member associations shall exceed NT$30 million. 2. An applying sole legal person, or each member of an applying alliance of legal persons shall meet the following requirements: (1) It has not written a bounced check or substantially lost its good credit standing within two years before the announcement of the Project. Where it has been established for less than two years, the relevant data, dated between the date of its establishment to the date of the announcement, shall be submitted as proof instead. (2) The legal person's net worth from 2018 to 2019 has never been lower than its paid-in capital, total funds, or total property. Where it has been established for less than two years, its financial data, dated between the date of its establishment to the latest year, shall be submitted as proof instead. (3) The legal person's total liabilities from 2018 to 2019 have never exceeded four times its net worth, unless the Applicant is a privatized state-owned enterprise that undergoes privatization according to the government's policy. Where it has been established for less than two years, its financial data, dated between the date of its establishment and the end of the latest year, shall be submitted as proof instead. 4.1.2.2 Financial requirements for the Private Institution which is the original sole legal person applying for the Project: Where an applying sole legal person plans to sign the Agreement with the Competent Authority itself, the Applicant shall meet the following financial requirements: 1. Where the sole legal person is a legally established domestic company or foundation, its paid-in capital or total funds shall exceed NT$30 million. 2. Where the sole legal person is a legally established association, its total property shall exceed NT$30 million. 3. It has not written a bounced check or substantially lost its good credit standing within two years before the announcement of the Project. Where it has been established for less than two years, the relevant data, dated between the date of its establishment to the date of the announcement, shall be submitted as proof instead. 4. The legal person's net worth from 2018 to 2019 has never been lower than its paid-in capital, total funds, or total property. Where it has been established for less than two years, its financial data, dated between the date of its establishment and the end of the latest year, shall be submitted as proof instead. 5. The legal person's total liabilities from 2018 to 2019 have never exceeded four times its net worth, unless the Applicant is a privatized state-owned enterprise that undergoes privatization according to the government's policy. Where it has been established for less than two years, its financial data, dated between the date of its establishment to the latest year, shall be submitted as proof instead. 4.1.3 Applicant's Technical Ability and Qualifications to Operate and Manage the Project 4.1.3.1 The entire business performance of an applying sole legal person or the members of an applying alliance of legal persons shall show the Applicant's technical ability to operate and manage the events under either of the following subparagraphs: 1. Having the ability and experience to hold exhibitions or conferences, and having held an exhibition comprising at least 250 display booths or an international conference attended by more than 300 people. 2. Having the ability and experience to operate and manage exhibition facilities or conference facilities and having operated and managed the facilities of a single exhibition or conference that occupy a total floor area of at least 4,000 m2. 4.1.3.2 Where an Applicant does not have the experience set forth in Article 4.1.3.1 of these Guidelines, it may present a technical proposal and a letter of undertaking by a subcontractor instead, provided that the letter of undertaking by a subcontractor is certified or notarized by a court or a notary public. 4.1.4 Restrictions on Applicants 4.1.4.1 An applying sole legal person shall not be a member of an applying alliance of legal persons. The authorized representative legal person of an alliance of legal persons shall not be a member of another alliance of legal persons applying for the Project. Violation of the above provisions shall render the relevant application(s) invalid. 4.1.4.2 2A subcontractor having the qualifications under Article 4.1.3.2 of these Application Guidelines shall not be an applying sole legal person or a member of an applying alliance of legal persons, but may be a subcontractor of another Applicant. The Method and Place to Submit Application Document Each application shall be submitted by personal delivery or by registered mail to the Mail Room of the Secretary Office of the Bureau of Foreign Trade of the Ministry of Economic Affairs at No. 1, Hu Kou Street, Zhongzheng District, Taipei 10066 before 5 p.m., December 7, 2020.
